Penelope B. Perez-Kelly
Attorney Penelope B. Perez-Kelly practices in the areas of business and commercial litigation, business law, international law and intellectual property law. Ms. Perez-Kelly is a Florida Bar Board Certified International Lawyer with experience in a broad variety of complex commercial international and domestic litigation in federal, state and bankruptcy courts. Specifically, Ms. Perez-Kelly has represented clients in real estate developer disputes, commercial landlord tenant disputes, shareholder disputes, fraud and deceptive and unfair trade practices, fraudulent transfer, collection and enforcement of judgments, contested bankruptcy matters and asset recovery, and has assisted clients to achieve foreign service of process in various countries. Ms. Perez-Kelly also advises corporate clients in preservation, review and production of electronic discovery in various types of litigation matters. Ms. Perez-Kelly has also represented clients in a variety of corporate formation, product branding, acquisitions and corporate compliance matters. Ms. Perez-Kelly has experience negotiating and preparing various agreements including, but not limited to, operating agreements, commercial lease agreements, confidentiality agreements, shareholders agreements, joint venture agreements, partnership agreements, independent contractor agreements, non-compete agreements, licensing agreements, distributorship agreements, software agreements and other commercial agreements. Ms. Perez-Kelly has also assisted clients to create corporate policies and procedures designed to ensure compliance with various laws and regulations. With regard to community association law, Ms. Perez-Kelly has represented homeowners and condominium association clients to develop or improve processes to ensure compliance with FDCPA, and other regulatory requirements. She has also assisted association clients to enforce declarations and covenants, rules and lien foreclosure. Ms. Perez-Kelly also represents clients in various intellectual property matters. In the area of trademarks, Ms. Perez-Kelly has assisted corporate clients to complete trademark clearance, registrations, assignments and renewals in the United States, Latin America, Europe and Asia. Ms. Perez-Kelly was born in Santo Domingo, Dominican Republic and is fluent in Spanish. Ms. Perez-Kelly has been involved with several organizations serving the Central Florida community and the State of Florida. Since moving to Central Florida, she has been involved with the Hispanic Bar Association of Central Florida, serving as its President in 2007. Ms. Perez-Kelly has also served on the technical assistance committee of the Hispanic Business Initiative Fund, a leading economic development organization assisting Hispanic entrepreneurs in the Central Florida area. Ms. Perez-Kelly currently serves on the Executive Council of the Florida Bar International Law Section and the Florida Bar International Law Certification Committee. Ms. Perez-Kelly has been recognized several times by her peers for her work and expertise, including being identified as a Rising Star in areas of international law or intellectual property law by Florida Super Lawyers Magazine in 2009, 2012-2013. Ms. Perez-Kelly is also the recipient of the Orange County Bar Lawrence G. Mathews, Jr. Young Lawyer Professionalism Award in 2011. This Award recognizes attorneys in practice for less than 15 years whose conduct and career stands as a model of success built on unquestioned professionalism. Ms. Perez-Kelly has devoted substantial time and effort to the fight against diabetes. She has been involved with the Step Out Walk to Stop Diabetes for almost a decade, a fundraising walk supporting the mission of the American Diabetes Association to find a cure for diabetes. |
